Standard Terms and Conditions
CelMix Science

1-     General

ATOCEL is a trademark of CelMix Science products in the market and the following terms and conditions will be directed legally to CelMix Science KFT company

2–     Products

The specifications and figures mentioned in our catalogues are given for information and without commitment. CelMix Science reserves the right to change its   products without   notice,   depending on improvements imposed by the technical development.

3–     Orders

Orders can be sent by e-mail only.

Orders shall be final only when CelMix Science has confirmed them by the official PI. They must include:

–  catalogue number and description,

–  delivery and invoicing addresses

–  Inter-community VAT number

4–     Deliveries

Delivery time shall be confirmed upon receipt of your order.

5–     Price and invoicing

Our prices are guaranteed for the term of validity of the offer or the estimate.

6–     Payment

The invoices are payable by cheque, bank or postal transfer, and revocable

letter of credit during the confirmed payment time.

CelMix Science reserves the right to claim an advance payment or a  part payment prior to the fulfillment of the order.

7–     Warranty of services and reservations

CELMIX SCIENCE shall be liable in all cases of contractual and extra-contractual liability in case of intent or gross negligence in accordance with the statutory provisions for damages or reimbursement of futile expenses.

Liability for damage from injury to life, limb, or health is unaffected by the limitations and exclusions stipulated above.

Claims for defects become barred one year after delivery of the goods. If the defect is trivial, the customer may not revoke the contract or reduce the purchase price.

8–     Retention of title clause

The seller reserves title to the goods until the price thereof in principal

and interest has been paid in full. Failing payment of the price at the agreed due date, the seller may take back the goods. The sale shall be canceled by operation of law if the seller sees fit and it shall be entitled to part payments already paid in consideration of any use of the goods by the buyer.

9–     Disputes

Courts in the jurisdiction of the place of the company’s registered office

shall have sole jurisdiction in the event of a dispute of any kind or a dispute relating to the formation or fulfilment of the order. French law only shall govern orders placed with CelMix Science.

10-    Place of performance and venue

The place of performance for all obligations resulting from this contract is the registered seat of CelMix Science.

The exclusive venue for any disputes arising from and in connection with this contract shall be the registered seat of CelMix Science.
